Data Processing Addendum
This Data Processing Addendum ("DPA") forms part of the Terms of Service ("Agreement") between Presence Pilot ("Processor") and the user ("Controller").
1. Definitions
- Controller: The entity that determines the purposes and means of processing personal data.
- Processor: The entity that processes personal data on behalf of the Controller.
- Personal Data: Any information relating to an identified or identifiable natural person.
2. Scope and Purpose
The Processor shall process Personal Data only for the purposes specified in the Agreement and in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR).
3. Obligations of the Processor
- Process Personal Data only on documented instructions from the Controller.
- Ensure that persons authorized to process Personal Data are committed to confidentiality.
- Implement appropriate technical and organizational measures to ensure data security.
4. Sub-Processors
The Processor may engage sub-processors to assist in processing Personal Data. A list of sub-processors will be made available upon request.
5. Data Subject Rights
The Processor shall assist the Controller in responding to requests from data subjects to exercise their rights under applicable data protection laws.
6. Data Breach Notification
In the event of a data breach, the Processor shall notify the Controller without undue delay and provide all necessary information to mitigate the breach.
7. Data Retention and Deletion
Upon termination of the Agreement, the Processor shall delete or return all Personal Data to the Controller, unless required by law to retain it.
8. Governing Law
This DPA shall be governed by and construed in accordance with the laws applicable to the Agreement.
